Adly Terms of Service
Standard terms and conditions governing the use of the Adly application
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Codebyakshay ("Developer," "we," "us," or "our") concerning your access to and use of the Adly mobile application, associated software, and related web pages (collectively, the "Service").
By downloading, installing, accessing, or using Adly, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
2. Description of Adly
Adly is a specialized mobile utility designed to provide advertising-management functionality. The Service allows authorized users to connect, view, monitor, and manage advertising assets and campaign information through authorized integrations with supported third-party platforms, particularly Meta Platforms, Inc. ("Meta") via its official developer APIs.
3. User Accounts and Authorization
To access the features of Adly, you may connect your account through Meta's authorization flow. You represent and agree to the following:
- Account Security: You are solely responsible for maintaining the confidentiality of your credentials, device access, and any authorized sessions created within Adly.
- Authority to Connect Assets: You represent and warrant that you hold all necessary legal rights, organizational authorities, administrator permissions, and licenses to connect, view, and manage any advertising accounts, ad sets, campaigns, or business assets you link to Adly.
- Permitted Assets Only: You agree to connect and manage only those advertising assets that you own or have received explicit, written authorization from the asset owner to manage.
- Notification of Breach: You agree to promptly notify us if you discover or suspect any unauthorized access or security breach involving your Adly session.
4. Third-Party Meta Platform Integration
Adly interfaces with external platform services provided by Meta Platforms, Inc. (including Meta/Facebook Login and the Meta Marketing API). By using these integrations, you acknowledge and agree to the following:
- Independent Platform: Meta Platforms, Inc. is an entirely separate, third-party entity. Adly is an independent software product developed by Codebyakshay and is not owned, operated, sponsored, or endorsed by Meta.
- Compliance with Third-Party Terms: Your use of Meta's platform, products, and advertising tools remains subject to Meta's own terms, conditions, and advertising standards (including the Meta Terms of Service, Meta Commercial Terms, and Meta Platform Terms).
- No Control over Third-Party Systems: Adly has no control over Meta's servers, platform policies, API availability, rate limitations, service changes, or account decisions (such as advertising account rejections, bans, or policy audits made by Meta). We are not responsible or liable for any interruptions or consequences resulting from Meta's platform operations.
5. Acceptable Use
You agree to use Adly only for lawful, legitimate business purposes in accordance with these Terms. You agree that you will not:
- Use the Service in violation of any applicable local, state, national, or international law, statute, or regulation.
- Access, tamper with, or use non-public areas of the Service, our hosting systems, or technical delivery networks.
- Attempt to probe, scan, test the vulnerability of, or breach any security or authentication mechanism.
- Abuse, overload, spam, or make automated or excessive API calls that impair or disrupt the normal operation of the Service.
- Connect, access, or attempt to manage advertising assets belonging to another person or organization without explicit, verified authorization.
- Reverse engineer, decompile, disassemble, or derive the source code of the application, except to the extent permitted by applicable mandatory law.
- Circumvent or attempt to circumvent any access controls, user limits, or security features implemented by Adly or our third-party platform partners.
6. Intellectual Property
The Service, including its code, software architecture, user interface design, logos, documentation, and original content, is the property of Codebyakshay and is protected by applicable intellectual property, copyright, and trademark laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Adly mobile application on your compatible mobile device strictly for its intended advertising management purposes.
Third-Party Trademarks: Meta, Facebook, Instagram, and other related product marks or logos are registered trademarks of Meta Platforms, Inc. Adly and Codebyakshay claim no ownership, affiliation, or endorsement regarding third-party marks. All third-party trademarks appearing in connection with the Service are the property of their respective owners.
7. Third-Party Services and Links
The Service may interact with or reference third-party platforms, services, and APIs. We do not inspect, endorse, or assume responsibility for the content, privacy practices, availability, or operational rules of any third-party services. Your interactions with third-party providers are governed exclusively by their respective terms and policies.
8. Availability and Service Modifications
We continually strive to improve Adly. We reserve the right at any time to:
- Modify, enhance, update, or discontinue features or aspects of the Service without prior notice.
- Implement temporary downtime for system maintenance, security updates, or bug fixes.
- Impose limits on certain features or restrict access to parts or all of the Service to address operational or security concerns.
We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service or any part thereof.
9. Disclaimers of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODEBYAKSHAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS;
- OPERATION OF THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- ADVERTISING METRICS, PERFORMANCE DATA, OR CAMPAIGN INFORMATION ACCESSED FROM THIRD-PARTY PLATFORMS WILL BE INSTANTANEOUSLY ACCURATE, COMPLETE, OR UNCHANGED;
- ANY THIRD-PARTY APIS (INCLUDING META PLATFORM APIS) WILL REMAIN UNINTERRUPTED, ACCESSIBLE, OR COMPATIBLE OVER TIME.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEBYAKSHAY, ITS DEVELOPERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF ADVERTISING REVENUE, LOSS OF DATA, GOODWILL, BUSINESS INTERRUPTION, OR ADVERTISING ACCOUNT PENALTIES IMPOSED BY THIRD-PARTY PLATFORMS, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
IF ANY APPLICABLE JURISDICTION DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
11. Suspension and Termination
We may suspend, limit, or terminate your access to Adly at our sole discretion, without prior notice or liability, for any reason, including:
- Any breach or suspected violation of these Terms;
- Misuse of third-party platform credentials, unauthorized asset management, or abuse of APIs;
- Requests by law enforcement, regulatory bodies, or platform partners;
- Operational, technical, or security requirements.
Upon termination, your right to access and use the Service will immediately cease. You may also cease using the Service at any time by disconnecting your accounts and uninstalling the application.
12. Governing Law and Jurisdiction
These Terms shall be interpreted, construed, and governed in accordance with the applicable laws governing the agreement, without regard to conflict of law principles.
